These Terms of Service (the “Terms” or this “Agreement”) form a legally binding contract between you and Bypass.io and govern your access to and use of our website at https://bypass.io, our customer dashboard at https://dashboard.bypass.io, and all proxy products and related services we provide. Please read them carefully. If you do not agree with any part of these Terms, you must not access or use our Services.
- INTRODUCTION AND DEFINITIONS
- This Agreement is entered into between Bypass.io(the “Company,” “we,” “us,” or “our”) and any natural or legal person (“User,” “Customer,” “Client,” or “you”) who accesses, registers for, uses, or purchases any of our Services.
- Bypass.io is a premium proxy provider and white-label reseller. We operate a self-serve platform that lets you route internet traffic through a large network of IP addresses for purposes such as data collection, brand protection, ad verification, market research, QA testing and privacy. Our product lineup includes rotating Residential proxies, Static Residential (ISP) proxies, Datacenter proxies and LTE / Mobile proxies. Availability, features and pricing differ by product and are described at checkout and in the dashboard.
- For the purposes of this Agreement, the following definitions apply:
- “Account” means the registered profile required to access our Services, including all associated credentials, settings, sub-users, API keys and prepaid balance.
- “Services” means any and all proxy products and related features provided by Bypass.io, including without limitation:
- Residential (rotating) proxies
- Static Residential (ISP) proxies
- Datacenter proxies
- LTE / Mobile proxies
- The dashboard, APIs, documentation, and any additional products or features we may offer in the future
- “System” means the entirety of our website, dashboard, software, APIs, network and any other technological components used to deliver the Services.
- “Balance” means the prepaid credit and/or metered traffic/bandwidth allowance associated with your Account that is consumed as you use the Services.
- “Upstream Networks” means the third-party proxy networks and infrastructure providers from which we source or through which we route IP addresses used to provide the Services.
- “Intellectual Property” includes, without limitation, trademarks, service marks, trade names, copyrights, patents, trade secrets, know-how, software and any other proprietary rights related to our Services.
- This Agreement takes effect immediately upon the earlier of your access to our website, creation of an Account, or use of any component of our System or Services. By taking any of these actions you expressly acknowledge and agree to be bound by all terms and conditions set out in this Agreement, together with our Privacy Policy and any product-specific or acceptable-use policies referenced herein, which are incorporated by reference.
- ELIGIBILITY AND ACCEPTANCE OF TERMS
- Minimum age. You must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, to create an Account or use the Services. By using the Services you represent and warrant that you meet this requirement. The Services are not directed to and may not be used by anyone under this age.
- Legal capacity and authority.You represent and warrant that you have the legal capacity to enter into this Agreement. If you are accessing or using the Services on behalf of a business or other legal entity, you further represent and warrant that you are authorized to bind that entity, and “you” refers to that entity.
- Compliance and sanctions. You represent that you are not located in, under the control of, or a national or resident of any country or party subject to applicable trade sanctions or export-control restrictions that would make your use of the Services unlawful, and that you will not use the Services in violation of such laws.
- By accessing our website, creating an Account, or using our Services, you acknowledge that you have read, understood and agree to comply with these Terms in their entirety. If you do not agree, you must immediately cease all use of our website, System and Services.
- ACCOUNT REGISTRATION AND SECURITY
- To access most Services you must register an Account and provide accurate, current and complete information as prompted, which may include:
- Your name (or the name of the entity you represent)
- A valid email address
- A secure password
- Billing and payment details processed by our payment providers
- Any other information reasonably necessary for the provision of the Services or for compliance, fraud-prevention and anti-abuse purposes
- You are solely responsible for:
- Maintaining the confidentiality of your Account credentials, API keys and any proxy access credentials issued to you.
- All activity that occurs under your Account, whether or not authorized by you, including the activity of any sub-users or third parties to whom you provide access.
- Logging out at the end of each session when accessing the Services on a shared computer or public network.
- Promptly notifying us at [email protected] of any unauthorized use of your Account, credential leak, or other security breach you become aware of.
- We reserve the right, in our sole discretion, to:
- Refuse registration of, or suspend or cancel, any Account.
- Request additional information or documentation to verify your identity, the information you provided, or your intended use of the Services (for example, for “know your customer” or anti-fraud purposes).
- Decline to make certain products available to a given Account.
- You agree to keep your Account information accurate and up to date. Failure to do so may result in suspension or termination of your Account and Services. You may not sell, rent, share or transfer your Account or credentials to any third party without our prior written consent.
- To access most Services you must register an Account and provide accurate, current and complete information as prompted, which may include:
- DESCRIPTION OF THE SERVICES AND LICENSE
- Subject to your compliance with these Terms and any applicable policies, Bypass.io grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your lawful personal or internal business purposes.
- The Services route your connections through residential, ISP, datacenter and mobile IP addresses. Because these IPs originate from a rotating pool and, in the case of residential and mobile products, from third-party Upstream Networks, individual IPs, locations, session durations and success rates are inherently variable and are not guaranteed. Available countries, locations and targeting options differ by product and may change over time.
- The specific features, functionality, quotas and availability of the Services depend on the product you purchase and your plan or Balance. We may modify, enhance or discontinue any aspect of the Services, and add or remove locations or IP pools, at any time.
- You acknowledge and agree that:
- We use third-party providers and Upstream Networks to deliver parts of the Services, and your use may be subject to their capacity and availability.
- Technical processing and transmission of data may involve transfers over various networks and adaptations to meet technical requirements of connecting networks or devices.
- We may restrict access to some parts of the System, or the entire System, and may impose rate, concurrency or bandwidth limits to protect the integrity of the network.
- We may monitor use of the Services, including through automated means and anti-abuse tooling, to ensure compliance with this Agreement and to protect our network, Upstream Networks and other users. Any suspected violation may result in immediate suspension or termination as described in Section 10.
- ACCEPTABLE USE AND PROHIBITED ACTIVITIES
- You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, national and international laws, regulations and third-party rights. You are solely responsible for the traffic you send through the Services and the consequences of that traffic.
- Without limiting the foregoing, you must not use the Services, and must not permit anyone using your Account to use the Services, to engage in any of the following:
- Unauthorized access. Accessing, or attempting to access, any system, network, account or data without authorization, or otherwise circumventing, probing or testing the security or authentication of any system you do not own or are not expressly permitted to test.
- Fraud and financial crime. Payment fraud, carding, credential stuffing, account takeover, identity theft, phishing, or any other deceptive or fraudulent scheme.
- Spam and unsolicited messaging. Sending spam, bulk unsolicited email or messages, or operating in violation of anti-spam laws or the anti-abuse policies of any platform.
- Malware and intrusion. Distributing, hosting, or controlling malware, viruses, ransomware, spyware, botnets, or command-and-control infrastructure, or otherwise attempting to damage, disrupt or gain unauthorized control of any device or system.
- Attacks on availability. Launching or participating in denial-of-service (DoS/DDoS) attacks, port scanning of third parties without authorization, brute forcing, or any activity designed to overload, degrade or interfere with any network, service or website.
- Child sexual abuse material (CSAM) — zero tolerance. Accessing, storing, transmitting, producing, advertising or distributing any child sexual abuse material or any content that sexually exploits or endangers minors. We maintain a strict zero-tolerance policy; violations will result in immediate termination without refund and will be reported to law enforcement and relevant authorities.
- Intellectual property and copyright infringement. Infringing, or enabling the infringement of, any copyright, trademark, patent, trade secret or other intellectual-property or proprietary right, including large-scale unauthorized distribution of copyrighted works.
- Circumventing security or third-party terms. Bypassing security measures, access controls, paywalls, CAPTCHAs or usage restrictions of any third party in a manner not permitted by that party, or using the Services in violation of the terms of service, robots exclusion rules, or acceptable-use policies of any website or platform you connect to.
- Harmful and abusive content or conduct. Transmitting or storing material that is unlawful, defamatory, harassing, threatening, or that promotes violence, terrorism, human trafficking, or other serious harm.
- Interference with the System. Using any device, software or routine to interfere with the proper working of the Services; imposing an unreasonable load on the System or Upstream Networks; or reselling, sublicensing or redistributing the Services except under a reseller arrangement we have expressly authorized in writing.
- Misrepresentation. Impersonating any person or entity or misrepresenting your identity or affiliation in connection with your use of the Services.
- You are responsible for determining whether your particular use case is lawful in your jurisdiction and in any jurisdiction you target. Where scraping or automated data collection is involved, you are responsible for ensuring you have a lawful basis and for respecting applicable data-protection laws and the rights of data subjects.
- We reserve the right to investigate suspected violations and to take any action we consider appropriate, including suspending or terminating your Account, disclosing information to and cooperating with law enforcement, and pursuing legal remedies.
- Abuse reports. If we receive an abuse complaint concerning your use of the Services from an Upstream Network, a partner, a website operator or another third party, we may investigate and, where warranted, suspend or terminate your Account without prior notice. Suspected abuse may be reported to us at [email protected].
- BILLING, PREPAID BALANCE, PAYMENTS AND REFUNDS
- Pricing and plans. The Services are offered on a prepaid basis. Depending on the product, you may purchase a per-gigabyte (per-GB) residential/bandwidth Balance or a fixed plan (for example, IP- or subscription-based plans for datacenter, ISP or mobile products). Prices, quotas and metering are displayed at checkout and in the dashboard. Unless otherwise stated, all fees are quoted in US Dollars and are exclusive of applicable taxes.
- Prepaid balance and consumption. When you top up, funds or traffic are added to your Account Balance and are consumed as you use the Services. Bandwidth and usage are metered by our systems, and our measurements are, absent manifest error, authoritative for billing purposes. You are responsible for monitoring your Balance; Services may stop functioning when your Balance is exhausted.
- Payment methods. Accepted payment methods are shown at checkout and include cryptocurrency. Payments are processed by third-party payment processors, and by paying you agree to their applicable terms. You represent that you are authorized to use the payment method you provide. For cryptocurrency payments, you are responsible for sending the correct amount and asset to the correct address; on-chain transactions are irreversible, and network fees, exchange-rate fluctuations and confirmation delays are your responsibility.
- Taxes. You are responsible for all taxes, duties and levies associated with your purchases, other than taxes on our net income. Where we are required to collect taxes, they will be added at checkout or invoiced to you.
- Recurring charges. If you enable a subscription or auto top-up, you authorize us and our payment processors to charge the applicable amount on the stated recurring basis until you cancel. You may cancel future renewals at any time from the dashboard; cancellation stops future charges but does not retroactively refund amounts already paid.
- No refunds (general rule). Except as expressly stated in this Section or as required by applicable law, all purchases and top-ups are final and non-refundable, including any unused Balance or unused portion of a plan or subscription period. Consumed bandwidth, expired plans, and Accounts terminated for breach are not refundable.
- Limited good-faith exception. If a Service you have paid for is materially non-functional during the first twenty-four (24) hours after purchase for reasons attributable to us and not to your configuration, hardware, software, network, or target site, and we are unable to remedy the issue after you contact [email protected] with reasonable detail within that period, you may be eligible for a refund of, or service credit for, the affected purchase. This exception does not apply to issues caused by your use, including target-site blocking, prohibited use, or compatibility problems on your side.
- No chargebacks. Because the Services deliver access to a shared, resource-metered network immediately upon purchase, you agree to contact us to resolve any billing concern before disputing a charge. Initiating a chargeback or payment dispute without first working with us, or in bad faith, is a material breach of these Terms and may result in immediate suspension or termination of your Account, forfeiture of any remaining Balance, and recovery of amounts owed (including reasonable costs and fees) to the extent permitted by law.
- Errors, fraud and pricing mistakes. We may refuse or cancel any order, correct pricing or description errors, and reverse or withhold Services in cases of suspected fraud, unauthorized transactions, or abuse, even after an order has been placed.
- FAIR USE, TRAFFIC AND SERVICE LIMITS
- To protect the stability of the network and the experience of all users, we may apply fair-use limits, including caps or throttling on bandwidth, request rate, concurrent sessions, or the number of ports or IPs available to an Account.
- Use that is abnormally high relative to your plan, that disproportionately burdens the System or an Upstream Network, or that we reasonably determine to be abusive, automated in a disruptive way, or intended to circumvent metering, may be rate-limited, suspended, or subject to additional charges.
- Unused prepaid Balance or traffic may be subject to expiration where disclosed at the point of purchase or in the dashboard. Where an expiration applies, expired Balance is non-refundable.
- SERVICE AVAILABILITY AND DISCLAIMER OF WARRANTIES
- We work hard to keep the Services reliable, but the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement.
- We do not warrant that the Services will be uninterrupted, timely, secure, or error-free; that any particular IP address, location, session, uptime, speed or success rate will be achieved; or that access to any specific target website or platform will be possible. Proxy performance depends on many factors outside our control, including Upstream Networks, target-site defenses, and general internet conditions.
- We may perform maintenance, updates and changes that temporarily affect availability, and we may add, remove or rotate IP pools and locations at any time. Unless a written service-level agreement has been agreed with you, no uptime or availability commitment is provided.
- You are responsible for the results obtained from your use of the Services and for any decisions made based on data collected through the Services.
- INTELLECTUAL PROPERTY RIGHTS
- All Intellectual Property rights in and to the Services, including trademarks, logos, service names, content, software, APIs, documentation and technology, are and remain the exclusive property of Bypass.io or its licensors. Except for the limited license expressly granted in Section 4, no rights are granted to you.
- You agree not to:
- Reproduce, modify, distribute, or create derivative works from our Intellectual Property without our prior written consent.
- Use our trademarks, logos or service names in any way that suggests an association with Bypass.io without our express written permission.
- Remove, alter or obscure any copyright, trademark or other proprietary notice from any part of the Services.
- Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of our software, except to the extent this restriction is prohibited by applicable law.
- Any feedback, comments or suggestions you provide about the Services are voluntary, and we may use them for any purpose without obligation or compensation to you.
- SUSPENSION AND TERMINATION
- We may suspend or terminate your access to the Services, in whole or in part, at any time and without prior notice or liability, if we reasonably believe that you have breached these Terms (including the Acceptable Use provisions in Section 5), that your use poses a security, legal or reputational risk, that an abuse complaint warrants it, or that suspension is required to comply with law or to protect the System, Upstream Networks or other users.
- Immediate termination for abuse.Serious violations — including CSAM, fraud, malware distribution, attacks on availability, or other conduct prohibited by Section 5 — may result in immediate termination without notice, forfeiture of any remaining Balance, and referral to law enforcement.
- Upon suspension or termination:
- Your right to use the Services ceases immediately.
- Fees already paid and any consumed usage are non-refundable, and any Balance may be forfeited where termination results from your breach.
- Any outstanding amounts become immediately due and payable.
- We may, but are not obligated to, retain or delete data associated with your Account, subject to our Privacy Policy and legal obligations.
- You may terminate your Account at any time by discontinuing use of the Services or by contacting [email protected] to request closure. We may retain certain information as needed to prevent fraud, resolve disputes, assist investigations, enforce these Terms, or comply with legal requirements.
- All provisions that by their nature should survive termination shall survive, including ownership, fee and no-refund provisions, warranty disclaimers, limitation of liability, indemnification, and dispute-resolution terms.
- LIMITATION OF LIABILITY
- To the maximum extent permitted by applicable law, Bypass.io and its affiliates, officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising from or relating to:
- Your use of, or inability to use, the Services.
- Any unauthorized access to or use of our servers or any information stored therein.
- Any interruption, degradation or cessation of the Services.
- Any bugs, viruses or malicious code transmitted to or through the Services by any third party.
- Any conduct or content of any third party, or any results obtained through the Services.
- This limitation applies regardless of the theory of liability — whether contract, tort, negligence, strict liability or otherwise — and even if we have been advised of the possibility of such damages.
- To the maximum extent permitted by law, our total aggregate liability for any and all claims arising out of or relating to this Agreement or the Services shall not exceed the amount you paid to us for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
- Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot lawfully be excluded.
- To the maximum extent permitted by applicable law, Bypass.io and its affiliates, officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising from or relating to:
- INDEMNIFICATION
- You agree to defend, indemnify and hold harmless Bypass.io and its affiliates, officers, directors, employees, agents and Upstream Networks from and against any and all claims, demands, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Services;
- Your violation of these Terms or any applicable law or regulation;
- Your violation of the rights of any third party, including intellectual-property, privacy or contractual rights;
- Any traffic, content or activity originating from your Account.
- We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. This obligation survives termination of this Agreement.
- You agree to defend, indemnify and hold harmless Bypass.io and its affiliates, officers, directors, employees, agents and Upstream Networks from and against any and all claims, demands, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:
- THIRD-PARTY SERVICES AND SUBPROCESSORS
- To operate the Services we rely on categories of third-party providers, including upstream proxy networks, payment processors, a transactional email provider, cloud hosting and content-delivery providers, and anti-abuse / CAPTCHA services. These providers process limited data on our behalf as described in our Privacy Policy.
- Your use of the Services may be subject to the terms and availability of these providers. We are not responsible for the acts or omissions of third-party services outside our reasonable control, and links or integrations to third-party sites or services are provided for convenience only.
- GOVERNING LAW AND DISPUTE RESOLUTION
- This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
- Any disputes arising out of or relating to this Agreement or the Services shall be resolved exclusively by the state and federal courts located in Delaware, United States, and you consent to the personal jurisdiction of such courts.
- Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief, and to pursue legal action, in any jurisdiction worldwide to enforce our rights or protect our interests.
- Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, it is permanently barred.
- Before initiating any formal legal action, you agree to first contact us and attempt to resolve the dispute informally in good faith.
- CHANGES TO THESE TERMS
- We may modify or update these Terms from time to time. The most current version will be posted on our website with the “Last Updated” date at the top.
- Material changes will become effective upon the earlier of (a) your first use of the Services with actual notice of the change, or (b) thirty (30) days after posting. Non-material changes are effective when posted.
- It is your responsibility to review these Terms periodically. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must stop using the Services.
- Disputes will be resolved under the version of the Terms in effect at the time the dispute arose.
- TECHNICAL SUPPORT
- We provide support to help you get the most out of the Services and will make reasonable efforts to resolve technical issues promptly. Support is available through the channels published on our website and dashboard, which may include email and live chat, together with documentation and knowledge-base resources.
- Response times may vary with the nature and complexity of the issue and current support volume. Except as set out in Section 6, technical issues do not, by themselves, entitle you to a refund.
- SEVERABILITY
- If any provision of these Terms is held unenforceable or invalid, that provision will be modified and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
- If a provision cannot be so modified, it shall be severed from these Terms, and the remaining provisions shall remain in full force and effect. The invalidity of any provision shall not affect the validity of any other provision.
- In jurisdictions that do not allow certain exclusions or limitations, those exclusions or limitations shall apply to the fullest extent permitted by the laws of that jurisdiction.
- ENTIRE AGREEMENT AND GENERAL PROVISIONS
- These Terms, together with our Privacy Policy and any product-specific or acceptable-use policies referenced herein, constitute the entire agreement between you and Bypass.io regarding the Services and supersede all prior agreements, communications and proposals, whether oral or written.
- Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision, and no waiver of any term shall be deemed a further or continuing waiver of that or any other term.
- You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization or sale of assets.
- Nothing in these Terms creates any agency, partnership, joint venture, or employer-employee relationship between you and Bypass.io.
- Any translation of these Terms is provided for your convenience only; the English version controls in the event of any inconsistency. Section titles are for convenience only and have no legal effect.
